Synopsis
Good corporate governance is the cornerstone of trust, accountability, and long-term value. In this talk, we’ll break down the fundamentals of governance with a focus on Singapore – looking at corporate governance structures, characteristics that shape corporate governance, the purpose of the board of directors, types of board structures, agency theory and the board’s role and duties, voting systems, legal duties of a director and the independence requirement of directors on the board of a listed issuer.
Governance here is shaped not only by the Companies Act, Securities and Futures Act, SGX Listing Rules, and the Code of Corporate Governance, but also by legislation that holds directors personally accountable, such as the Workplace Safety and Health Act, Carbon Pricing Act, Resource Sustainability Act and the Hazardous Waste (Control of Export, Import and Transit) Act. Together, these rules and standards drive transparency, compliance, and sustainable corporate conduct and growth.
